If you have allergies, carefully review the product label before use. • Perform a patch test before use, particularly if you have sensitive skin. Discontinue use immediately if irritation occurs.In rare cases, naturally derived ingredients may cause sensitivity. Should this happen, stop use and consult a healthcare professional if needed. • Our products are not designed to diagnose, treat, cure, or prevent any medical conditions. Sales, Promotions & Coupons PRÍ PEAR™ may offer discounts, promotions, or coupon codes from time to time. Please note the following terms apply to all sales and coupons: • Coupons cannot be combined with other discount codes, promotions, or offers. Terms & Conditions for Raw Ingredients Buyers Supplier: PRÍ PEAR™, a division of Pripear Skincare (Pty) Ltd Company Reg. No: 2020/619763/07 Effective Date: 1 August 2025 By placing an order or engaging with PRÍ PEAR™, you acknowledge that you have read, understood, and agree to these Terms & Conditions. 1. Orders & Acceptance • All orders are subject to written acceptance by PRÍ PEAR™. • Availability, specifications, and pricing may change without prior notice. • We reserve the right to refuse or cancel any order at our discretion. 2. Pricing & Payment • Prices are invoiced in ZAR, EUR, or USD, as agreed. • Payment is required in full before dispatch unless otherwise approved in writing. • Delayed or incomplete payment may result in postponed delivery or order cancellation. • Quotes are valid for 14 days unless otherwise stated. 3. Delivery & Risk • Delivery dates are estimates; PRÍ PEAR™ is not responsible for delays outside our control. • Risk passes to the Buyer upon dispatch. • Buyers are responsible for shipping, customs, and import duties. 4. Quality & Documentation • Each order includes a Buyer’s Pack with the following: Certificate of Analysis (CoA), Safety Data Sheet (SDS), Technical Data Sheet (TDS), General usage guidance. • Our CoA reflects standard composition and quality parameters verified through routine testing. If additional or custom analysis is required, requests must be made in writing before ordering and may incur additional costs. • Custom or extended testing is available for bulk orders exceeding 5 litres. • All ingredients are intended for cosmetic formulation only. • The Buyer is responsible for ensuring compliance, safety, and suitability of ingredients in their finished products. 5. Liability • PRÍ PEAR™’s liability is strictly limited to the purchase price of the supplied goods. • We are not liable for indirect, consequential, or incidental losses, including but not limited to loss of profit, production, or goodwill. 6. Confidentiality & Intellectual Property • All branding, formulations, testing data, artwork, and documentation remain the intellectual property of Pripear Skincare (Pty) Ltd. • By engaging with PRÍ PEAR™, the Buyer agrees to maintain strict confidentiality regarding all proprietary materials, pricing, and correspondence. • No part of the Buyer’s Pack or related communication may be shared, copied, or used outside the agreed purpose without written consent from PRÍ PEAR™. • Any unauthorised disclosure or use of confidential information constitutes a breach of these Terms and may result in legal action. 7. Cancellations & Returns • Orders cannot be cancelled, altered, or returned once confirmed, except by written agreement. • Due to the perishable nature of raw ingredients, returns are not accepted once dispatched, except in cases of verified defect or supplier error. 8. Governing Law • These Terms & Conditions are governed by the laws of the Republic of South Africa. • Any disputes arising hereunder will fall under the jurisdiction of the courts of the Western Cape. Terms & Conditions for Private Label Clients Supplier: PRÍ PEAR™ Skincare, a division of Pripear Skincare (Pty) Ltd Company Reg. No: 2020/619763/07 Effective Date: 1 August 2025 By engaging with PRÍ PEAR™, whether requesting a quote, approving artwork, or making a payment, you acknowledge that you have read, understood, and agree to these Terms & Conditions. 1. Scope of Work • PRÍ PEAR™ provides raw materials, finished products, bottles, packaging, and label design services. • If the Client provides bottles, a preparation or cleaning fee may apply. • All specifications (formulas, labels, packaging) must be confirmed in writing before production. • Changes after approval may incur additional charges and affect delivery timelines. 2. Artwork, Labels & Design Approval • PRÍ PEAR™ provides proofs for client review. • Written approval (including email) is required before production. • Once approved, the Client assumes responsibility for final output. • Reprints or design changes requested after approval are billed to the Client. 3. Deposits & Payment • A 50% non-refundable deposit is required before work begins. • Full payment is due per invoice terms prior to delivery. • Late payments accrue interest at Prime + 2% per month. • Ownership of all goods and materials remains with PRÍ PEAR™ until full payment is received. 4. Quality & Liability • Products will meet agreed specifications at delivery. • PRÍ PEAR™’s liability is limited to replacement or credit for defective goods. • We are not liable for indirect, consequential, or special losses, including lost profits. • Clients are responsible for ensuring compliance and suitability of finished products.. 5. Confidentiality & Intellectual Property • All formulas, processes, artwork, designs, and documentation remain the property of Pripear Skincare (Pty) Ltd. • Clients agree to maintain strict confidentiality regarding all proprietary information and correspondence. • Unauthorized disclosure, reproduction, or use of materials may result in legal action. • Clients warrant that any supplied logos, text, or images do not infringe third-party rights. 6. Cancellation & Scope Changes • Deposits are non-refundable. • Changes to orders after approval constitute a new order and may incur additional charges. 7. Governing Law & Dispute Resolution • These Terms are governed by South African law. • Disputes will first be negotiated, then referred to arbitration in Cape Town under AFSA rules if unresolved.
